91热爆 Chairman, announced today that Nicholas Kroll has been appointed
Director of Governance.
听
As the 91热爆's first Director of Governance, Nicholas
Kroll will set up and lead the Governors' new department operating exclusively
in support of the Board.
听
Michael Grade said: "The appointment of Nicholas
Kroll to this important role marks another step forward in implementing
the changes to our governance system announced in Building Public Value.
听
"After a thorough and open competition, Nicholas
Kroll was the Governors' unanimous choice. His intellectual rigour,
broadcasting and wider public policy experience, and proven independence
and objectivity will prove invaluable in setting up and directing the
new governance unit."
听
The Governors announced in June that in future they
will act 聳 and be seen to act 聳 fully independently of the
91热爆's management and will be resourced properly in order to make informed
and independent judgements.
听
The new Governance Unit will include a greater range
of expert and independent professionals to advise Governors on the conduct
of their duties and to scrutinise proposals coming from management.
听
Nicholas Kroll said: "I am delighted that the Governors
have appointed me.
听
"I strongly believe that the 91热爆's system of governance
is the right system for maintaining a 91热爆 that operates in the public
interest and is independent from political and commercial pressures.

"The changes announced by the Board in June to
modernise the way in which the Governors execute their responsibilities

it wants and deserves."

Nicholas Kroll, who is currently Chief Operating Officer
at the Department of Culture, Media and Sport, will take up his appointment
on 1 October 2004.

Biographical details
Nicholas Kroll has been Chief Operating Officer and Deputy to the Permanent
Secretary at DCMS since 2002, responsible for developing and delivering
the Department's change management programme and setting new strategic
priorities within DCMS.
听
Previous posts at DCMS include Corporate Services Director
(2000 to 2002, including a period as acting Permanent Secretary during
2001), Director of Creative Industries, Media and Broadcasting Group
(1996 to 2000), Head of Broadcasting Policy Division (1995 to 1996),
and Head of the Arts Division (1993 to 1995).
听
He has also worked at HM Treasury where he was Head
of the European Community Budget Division (1990 to 1993) and the Head
of Banking Policy Branch (1986 to 1990).
听
Previously, he worked at the Department of Transport
(1982 to 1986) and the Department of Environment and Transport (1977
to 1982) and is a graduate of Corpus Christi College, Oxford.
Nicholas Kroll is 50 years old and married with two children.

8.3 Clear independence of 91热爆 Governors from
management
The Governors in future will act 聳 and be seen to act 聳 fully
independently of the 91热爆's management and will be resourced properly
in order to make informed and independent judgements.
听
The Board of Governors will be supported
by a dedicated and strengthened Governance Unit, independent of management.
The Head of the Governance Unit, appointed by the Board and reporting
directly to the Chairman, will be a senior figure of weight and authority,
with the skills and experience to provide reliable and independent support
to the Board of Governors.
The Governance Unit will contain staff providing a range of expertise
and experience 聳 covering broadcasting industry knowledge, journalistic
capability, economics and legal advice. This will enable the Unit to
advise Governors on the conduct of their duties and to scrutinise proposals
coming from management.
The Governance Unit's staff will report solely to the Chairman and Governors,
underpinning the independence of their advice. This is a major change
from today, where the staff dedicated to serving the Board have reporting
lines both to the Director-General and to the Chairman.
All issues concerning the pay, conditions and career progression of
staff while they are within the Governance Unit will rest entirely with
the Board.
